Trust Scaling Platinum Program

Effective Date: Date of Client Signature on Service Agreement

Parties: This 2X ROI Action-Based Guarantee (“Guarantee”) is part of the Service Agreement between Client and GVS Ventures LLC dba Authority Brand (“Service Provider”). This Guarantee is incorporated by reference into the Service Agreement and is binding on both Parties.

I. GUARANTEE OVERVIEW

Service Provider guarantees that Client will achieve a minimum 2X return on investment (ROI) on the total Investment (as defined below) during the 12-month Service Agreement term, provided Client satisfies all eligibility requirements set forth in this Guarantee.

Who Qualifies:

  • Client must be enrolled in Trust Scaling Platinum (BOTH Meta Ads Program AND Organic Video Program)
  • Client must be on a 12-month contract term
  • Client must complete the full 12-month term without early termination

II. ELIGIBILITY REQUIREMENTS

Client must satisfy ALL of the following throughout the entire 12-month term:

A. Payment Requirements

  • Remain current on all payments with no late payments
  • No failed payments or chargebacks
  • No payment disputes or collection issues

B. Video Content Requirements (Organic Video Program)

  • Record minimum 25 videos per month per Service Provider’s scripts/prompts
  • Submit all video footage within 48 hours of Service Provider request
  • Participate in monthly video strategy calls

C. Advertising Requirements (Meta Ads Program)

  • Maintain minimum $5,000 monthly ad spend for entire 12 months
  • Keep valid payment method on file with Meta at all times
  • No pausing or modifying ad campaigns without Service Provider approval
  • No disruptions in advertising due to failed payment attempts by advertising platform for ad spend
  • Provide access to ad accounts and Business Manager

D. Lead Response Requirements

  • Respond to all leads generated through Meta Ads Program within 24 hours
  • Implement CRM and follow-up processes recommended by Service Provider
  • Follow up with leads per Service Provider’s recommended cadence
  • Track and report conversions to Service Provider monthly

E. Implementation Requirements

  • Complete onboarding within 14 days of Services Start Date
  • Attend all scheduled strategy calls (minimum 12 over the year)
  • Implement Service Provider recommendations in good faith
  • Maintain active presence on recommended social media platforms

F. Cooperation & Documentation Requirements

  • Provide timely feedback on all deliverables (within 48 hours)
  • Supply all requested information, assets, and access
  • Maintain professional and respectful communication with Service Provider team
  • Provide monthly revenue and attribution reports, including:
    • Closed transactions with actual revenue received
    • Signed contracts/cases with documented estimated values
    • Lead source attribution for all new clients/customers
    • For contingency or long-cycle work: reasonable basis for value estimates (historical data, case specifics, etc.)

III. ROI CALCULATION METHOD

A. Investment Calculation

The “Investment” for purposes of calculating 2X ROI includes:

  1. All Service Provider management fees paid during the 12-month term (per Exhibit A of Service Agreement)
  2. Ad spend paid to Meta, subject to the $12,000 per month cap (see calculation rules below)

Ad Spend Calculation Rules:

  • Only ad spend up to $12,000 per month counts toward the Investment
  • If Client spends less than $12,000 in a given month, the actual ad spend for that month is used
  • If Client spends more than $12,000 in a given month, only $12,000 for that month counts toward Investment
  • Maximum total ad spend counted toward Investment: $144,000 (12 months × $12,000)

Example Investment Calculation:

  • Service Provider Management Fees Paid (12 months): $70,000
  • Ad Spend Months 1-10: $10,000/month = $100,000
  • Ad Spend Month 11: $15,000 (only $12,000 counts) = $12,000
  • Ad Spend Month 12: $8,000 = $8,000
  • Total Investment = $70,000 + $120,000 = $190,000
  • Required 2X ROI Revenue = $380,000

Note: Any additional management fees paid under Section II(F) of the Service Agreement for ad spend exceeding $12,000/month are NOT included in the Investment calculation, as the guarantee caps ad spend consideration at $12,000/month.

B. Revenue Calculation

Revenue includes the expected value of work/business generated through Service Provider’s marketing efforts, calculated as follows:

  1. For Closed/Completed Transactions:
  • Actual gross revenue or fees received by Client
  1. For Signed Contracts/Cases Not Yet Completed:
  • Reasonable estimated value of fees expected to be earned
  • Based on signed engagement letters, contracts, or agreements
  1. For Contingency-Based or Long-Cycle Work:
  • Estimated fee value based on:
    • Contingency percentage agreed with customer/client
    • Estimated settlement/judgment/transaction amount
    • Reasonable probability of success based on case/deal specifics
    • Client’s historical data for similar matters

Special Rules for Businesses with Extended Sales Cycles:

For industries with long closing cycles (e.g., personal injury law, complex litigation, real estate development, enterprise B2B sales, construction projects):

  • Client may count signed clients/cases/contracts toward revenue using reasonable estimated values
  • Estimates are credited at time of signing, not upon final payment/completion
  • Estimates must be documented and reasonable based on Client’s historical performance data
  • Service Provider may request supporting documentation for estimates
  • If actual revenue ultimately realized is lower than estimate, no adjustment is made to ROI calculation (Client bears the risk)
  • If actual revenue ultimately realized is higher than estimate, no upward adjustment is made (Service Provider bears the benefit)

Example for Personal Injury Law Firm:

  • Client signs personal injury case on Month 3 of the 12-month term
  • Case has estimated settlement value of $25,000
  • Client’s contingency fee: 40%
  • Estimated attorney fee: $10,000
  • This $10,000 counts toward ROI immediately upon case being signed in Month 3
  • Even if case won’t settle for 18 months (outside the 12-month guarantee period), the $10,000 is credited now
  • If case later settles for only $15,000 (resulting in $6,000 actual fee), no adjustment to ROI calculation
  • If case later settles for $40,000 (resulting in $16,000 actual fee), no upward adjustment to ROI calculation

Example for Enterprise B2B Sales:

  • Client signs 3-year enterprise contract worth $180,000 total ($5,000/month)
  • Full $180,000 contract value counts toward ROI at time of signing
  • Even though revenue will be realized over 3 years, full amount credited immediately

C. Attribution Requirements

Revenue only counts if Client can demonstrate the customer/client/case was acquired through:

  • Leads generated by Meta Ads campaigns managed by Service Provider, OR
  • Organic social media traffic/engagement driven by video content created by Service Provider, OR
  • Direct inquiries resulting from Client’s enhanced social media presence created by Service Provider

Attribution Documentation Required:

  • CRM records showing lead source
  • Form submissions or landing page conversions tracked to campaigns
  • Social media message inquiries or comments
  • Call tracking data showing source
  • Client testimony that customer mentioned seeing Client’s ads or videos

D. Estimated Value Disputes

If Service Provider questions the reasonableness of Client’s estimated values for pending matters:

  1. Good Faith Discussion: Parties will first attempt to resolve through good faith discussion and sharing of supporting documentation
  2. Arbitration if Unresolved: If Parties cannot agree within 15 days:
  • Either Party may demand binding arbitration specifically on the valuation dispute
  • Arbitration conducted under AAA Commercial Arbitration Rules
  • Single arbitrator with experience in Client’s industry
  • Arbitrator determines reasonable estimated value based on evidence presented
  • Cost of arbitration split 50/50 between Client and Service Provider
  • Arbitrator’s valuation determination is final and binding
  • This arbitration is separate from and in addition to the general arbitration provisions in Section 13 of the Terms and Conditions
  1. Burden of Proof: Client bears burden of demonstrating reasonableness of estimated values through:
  • Historical data on similar matters
  • Industry benchmarks
  • Specific case/deal facts supporting estimate
  • Expert opinions if applicable

E. ROI Formula

ROI = (Total Revenue from Service Provider Marketing Efforts) ÷ (Service Provider Management Fees + Ad Spend up to $12,000/month)

F. Documentation Requirements

Client must provide Service Provider with monthly reports throughout the 12-month term including:

For Closed Transactions:

  • Copies of invoices, settlement statements, or payment records
  • Gross revenue/fee amount received
  • Date of payment
  • Source attribution

For Pending Matters Counted as Revenue:

  • Copies of signed contracts, engagement letters, or retainer agreements
  • Detailed calculation of estimated value
  • Historical data supporting estimate
  • Case/deal specifics justifying estimate
  • Date matter was signed

For All Matters:

  • CRM records showing lead source attribution
  • Campaign or content that generated the lead
  • Date lead was generated
  • Any other documentation reasonably requested by Service Provider

IV. CLAIM PROCESS

A. Timing

  • Client must submit guarantee claim within 30 days of completing 12-month term
  • Claims submitted after 30-day window will not be honored

B. Submission

  • Email claim to: support@authoritybrand.com
  • Include subject line: “2X ROI Guarantee Claim – [Client Name]”
  • Attach all supporting documentation per Section III(F)
  • Include complete Investment calculation showing management fees paid and monthly ad spend amounts
  • Include complete Revenue calculation with attribution documentation

C. Review Period

  • Service Provider has 30 days to review claim and documentation
  • Service Provider may request additional information
  • Client must respond to information requests within 7 days
  • If valuation dispute arises regarding estimated values, arbitration process per Section III(D) applies

D. Decision

  • Service Provider will notify Client of decision in writing
  • Decision is final and binding (except for valuation disputes subject to arbitration per Section III(D))
  • If claim approved, remedy provided per Section V

V. REMEDY

If claim is approved, Service Provider will provide the following remedy:

Waived Management Fees Until 2X ROI Achieved:

Service Provider will continue providing the same services as the original 12-month agreement with ALL management fees waived (Client pays $0 for Service Provider’s services) until one of the following occurs:

  • Client achieves 2X ROI on the total Investment (Service Provider Management Fees + Ad Spend up to $12,000/month cap) as calculated per Section III, OR
  • 180 days have elapsed from the date the remedy begins

Whichever occurs first ends the remedy period.

IMPORTANT: Client remains 100% responsible for all advertising spend (ad spend) paid directly to Meta during the remedy period. Only Service Provider’s management fees are waived. Ad spend is never waived or refunded under any circumstances.

Client Obligations During Remedy Period:

  • Client must continue meeting ALL eligibility requirements listed in Section II
  • Client remains responsible for all ad spend paid directly to Meta
  • Ad spend during remedy period is capped at $12,000 per month maximum (Client may spend less but may not exceed $12,000/month)
  • Client must continue providing monthly revenue and attribution reports per Section II(F)
  • Failure to meet any eligibility requirement immediately terminates the remedy and Client forfeits any remaining time

What Client Pays During Remedy Period:

  • Management Fees to Service Provider: $0 (waived)
  • Ad Spend to Meta: Client’s chosen amount up to $12,000/month maximum (required minimum $5,000/month)
  • Additional Management Fees for High Ad Spend: $0 (waived, since ad spend capped at $12,000/month)

Example Scenario:

  • Original 12-month Investment: $190,000 ($70,000 management fees + $120,000 ad spend)
  • Required 2X ROI: $380,000
  • Revenue at end of 12 months: $320,000 (shortfall of $60,000)
  • Claim approved: Service Provider waives management fees (normally $5,833/month)
  • During remedy period:
    • Client pays $0/month to Service Provider
    • Client continues paying $5,000-$12,000/month in ad spend directly to Meta
    • If Client spends $10,000/month in ad spend × 6 months = $60,000 paid by Client to Meta during remedy
    • If Client achieves $380,000+ in total revenue after 90 days of the remedy period, remedy ends (even though 90 more days remain available)
    • If 180 days pass and Client has only achieved $360,000 total revenue, remedy ends (Client did not reach 2X ROI but received maximum remedy period)

Final Settlement: Once the remedy period ends (either by achieving 2X ROI or reaching 180 days), the guarantee is fully satisfied and no additional claims, extensions, or remedies are available.

VI. EXCLUSIONS AND LIMITATIONS

Guarantee does NOT apply if:

A. Client Breach

  • Client breaches any term of Service Agreement or Terms and Conditions
  • Client fails any eligibility requirement listed in Section II
  • Client breaches the Agreement by failing to complete the full 12-month term

B. External Factors

  • Meta/Facebook platform policy changes or account restrictions
  • Ad account suspensions or bans (unless caused by Service Provider)
  • Force majeure events (pandemics, natural disasters, etc.)
  • Changes in laws or regulations affecting advertising

C. Client Business Factors

  • Client’s business model or pricing makes profitability difficult
  • Poor product/service quality leads to refunds or chargebacks
  • Client’s sales process or closing skills prevent conversions
  • Client changes business focus or target market during term
  • Client has reputation issues or negative reviews

D. Market Factors

  • Increased competition in Client’s market
  • Economic recession or market downturn
  • Seasonal fluctuations in Client’s industry

VII. NO GUARANTEE OF SPECIFIC RESULTS

Except as expressly provided in this 2X ROI Guarantee, Service Provider makes no guarantees regarding:

  • Number of leads generated
  • Lead quality or qualification level
  • Conversion rates
  • Sales cycle length
  • Average transaction value
  • Profit margins

VIII. SERVICE PROVIDER’S GOOD FAITH EFFORTS

Service Provider commits to providing services consistent with industry standards and using best efforts to help Client achieve results. However, success depends heavily on factors outside Service Provider’s control, including Client’s implementation, follow-up, sales skills, product quality, pricing, and market conditions.

IX. SURVIVAL AND BINDING EFFECT

The terms of this 2X ROI Guarantee survive the expiration or termination of the Service Agreement for purposes of processing any timely claim submitted within the 30-day window.

X. INCORPORATION INTO SERVICE AGREEMENT

This 2X ROI Action-Based Guarantee is incorporated by reference into the Service Agreement and is a binding part of that Agreement. Client’s execution of the Service Agreement constitutes acceptance of and agreement to be bound by this Guarantee.

ACKNOWLEDGMENT

By executing the Service Agreement, Client acknowledges having read, understood, and agreed to be bound by these 2X ROI Action-Based Guarantee terms in their entirety.
